These Terms of Service (“Terms”) govern your use of the Link2Investors website at https://www.link2investors.com, mobile application, content, products, and other services we make available (“Service”), owned and operated by Link2Investors, Inc. (“Link2Investors,” “we,” “us,” or “our”).

These Terms, together with the Privacy Policy, any disclaimer, and any additional agreements referred to or linked herein (collectively, the “Agreement”), form your contract with Link2Investors. By accessing or using the Service, you agree to be bound by the Agreement. If you do not agree, do not use the Service.

IMPORTANT ARBITRATION NOTICE: THESE TERMS CONTAIN DISCLAIMERS OF WARRANTIES AND LIMITATIONS OF LIABILITY, INCLUDING AN ARBITRATION AND CLASS ACTION WAIVER. ARBITRATION IS THE EXCLUSIVE REMEDY FOR DISPUTES TO THE MAXIMUM EXTENT PERMITTED BY LAW. BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS.

1. Changes to Terms and Services

We may modify these Terms to reflect changes in the Service, applicable laws, or operational requirements. We will notify you via the platform, email, or other reasonable means. Your continued use after changes become effective constitutes acceptance of the updated Terms.

2. Purpose of Link2Investors

Link2Investors Services

We provide a platform where entrepreneurs can post opportunities, investors can discover and evaluate potential investments, and service professionals can offer expertise.

Relationship with Link2Investors: no broker-dealer or investment advisor

Link2Investors is not a broker, financial advisor, or agent. We do not negotiate or execute agreements between users and do not endorse or guarantee any opportunities or services. Users are solely responsible for evaluating suitability and complying with applicable laws.

User responsibility and risk acknowledgement

Opportunities and services are provided by third-party users. We do not guarantee accuracy or completeness. Conduct your own due diligence and seek professional advice. Investing in early-stage businesses involves significant risk (including loss of capital and dilution). By using the Service, you release Link2Investors from liability related to third-party offerings.

No guarantee of compliance or returns

We do not verify compliance of users or guarantee success or returns. Legal claims arising from a product/service must be directed to the user offering it.

3. Account and Registration; Access and Use

Anyone may view the Service; creating an account is required to post, discover, or offer services.

Eligibility: Individuals must be 18+ (or age of majority). If registering for an entity, you represent you have authority to bind that entity.
Registration: Provide accurate information (e.g., full name, valid email) and keep it current. We may decline or suspend registration consistent with law.
Security: Choose a strong password and keep credentials confidential. You are responsible for all activity under your account. Notify us of unauthorized use and sign out after each session. You may not transfer your account or use another’s without permission.
User verification: We may request government-issued ID and use third-party verification to protect users and the Service (per our Privacy Policy).

4. Intellectual Property Rights, License, and Restrictions

Intellectual property rights

The Service and its materials (software, text, images, graphics, audio/video, logos, trademarks) are owned by Link2Investors or respective owners and protected by law. Unauthorized use is prohibited and may terminate your license.

License and restrictions

Subject to these Terms, we grant a limited, revocable, non-transferable, non-sublicensable license to access and use the Service. You may not remove proprietary notices; reproduce, modify, distribute, publicly perform, or create derivative works; reverse engineer; frame or mirror; or scrape/data mine or burden the Service.

5. Membership Fees and Payment

Payment obligations

Fees & charges: Membership fees depend on the selected plan and may change. Fees in effect at purchase will be shown at checkout; taxes may apply.

Billing cycle: Billed in advance on a recurring basis (monthly/yearly) per plan; one-time fees are due at purchase.

Renewals: Plans renew automatically unless canceled.

Refund & cancellation policy

Refunds: Fees are non-refundable except as required by law.

Cancellation: Cancel anytime in account settings. Submit at least five (5) business days (excluding U.S. holidays) before renewal to avoid the next charge. Access remains until the current period ends.

Taxes: Membership fees include applicable taxes; no extra location-based taxes will be added to end customers.

Payment failure

If payment is declined, we may suspend/terminate access until balances are paid. You are responsible for unpaid fees and any chargeback/processing fees.

6. User Conduct, Representation, and Acceptable Use

You represent that content you submit does not infringe third-party rights. You agree to comply with law and these guidelines, including not posting or sharing content that:

you do not own or have rights to (including pirated materials or circumvention info);
is harmful, harassing, defamatory, obscene, pornographic, hateful, or otherwise unlawful; or exploits individuals;
incites illegal activity; contains malware, trojans, worms, or similar; or constitutes spam/mass mailings;
discloses personal contact or sensitive information (phone, email, address). Sharing such data is prohibited; you are responsible for any consequences;
provides instructions for illegal activities;
seeks unauthorized access or exceeds authorized access; solicits passwords or personal info;
promotes illegal gambling or interferes with other users’ enjoyment; or
links to content that violates these Terms.

You also agree not to use robots, spiders, scrapers, or similar tools; not to hack or attempt unauthorized access. You may be exposed to objectionable content; we are not responsible for information you choose to disclose publicly.

7. Content You and Others Provide

Content you submit

The Service may include profiles, forums, and other interactive features for user-generated submissions. You warrant you own/Control rights, your submission is accurate, does not violate these Terms, and you will indemnify Link2Investors for related claims.

Unless stated otherwise, you grant Link2Investors a non-exclusive, royalty-free, perpetual, irrevocable, transferable, sub-licensable, worldwide license to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from your content in any media.

Monitoring

We may (but are not obligated to) monitor features, investigate abuse, remove content, suspend posting access, and cooperate with law enforcement.

We may investigate and remove content that violates acceptable-use rules;
remove content that is abusive, illegal, or non-compliant;
terminate or suspend access to posting; and
monitor, edit, disclose, or remove content at our discretion.

8. Your Safety; Interactions With Other Users

Use caution in all interactions, on or off the Service. We may monitor access/use to operate the Service, ensure compliance, and meet legal obligations. We may remove content, investigate violations, and cooperate with law enforcement.

9. Copyright Infringement & DMCA

We respect intellectual property rights. If you believe your work has been infringed on the Service, email support@link2investors.com with the following:

description of the copyrighted work or IP claimed infringed;
good-faith statement that the use is unauthorized and why;
location (URL/path) of the material on the Service;
your address, phone, and email;
signature of the rights owner/authorized agent; and
statement under penalty of perjury that the notice is accurate and you are the owner/agent.

Misrepresentations in infringement or counter-claims may result in liability for damages (including costs and attorneys’ fees).

10. Violations and Reporting

We may warn, suspend, or disable accounts for violations or reported misconduct. Outcomes may not be shared to protect privacy. See our Privacy Policy for disclosure practices.

11. No Financial or Investment Advice

Link2Investors does not provide investment, financial, or legal advice and is not a broker/dealer. Communications from Link2Investors or users are not advice. You use the Service at your own risk.

12. Release

You release Link2Investors and its affiliates, officers, directors, employees, and agents from claims and damages arising from disputes with other users, including disputes related to investments, transactions, or reliance on user-provided information.

13. Non-Discrimination Policy

Discrimination against any user or third party based on protected characteristics is prohibited. We do not tolerate discriminatory conduct.

14. Communications & E-Sign Consent

To the fullest extent permitted by law, we may deliver agreements, notices, and other communications electronically (posting on the Service or via email). You consent to being contacted at provided numbers/addresses (including by automated systems or prerecorded messages) for Service-related purposes.

15. Service Improvement, Suspension & Maintenance

We may change features and may suspend/interrupt the Service, including to:

perform maintenance, updates, or security work (we’ll try to notify in advance when reasonable);
address use that harms or risks the Service or users; or
address breaches of these Terms or law, suspected account compromise, or disclosed credentials.

16. Third-Party Links & Advertising

The Service may link to third-party sites/resources. We are not responsible for their content, security, or practices. Your use is at your own risk and governed by their terms.

Advertising: The Service may include ads (including targeted ads). The type/extent of advertising may change; by using the Service, you agree ads may appear.

17. Warranty & Liability Disclaimer

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT ACCURACY, RELIABILITY, TIMELINESS, OR COMPLETENESS; UNINTERRUPTED OR SECURE ACCESS; OR THAT DEFECTS WILL BE CORRECTED.

If you become aware of unauthorized alterations to our website, contact support@link2investors.com with details.

18. Limitation of Liability

IN NO EVENT SHALL LINK2INVESTORS OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THESE TERMS OR YOUR USE/INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID (IF ANY) FOR ACCESSING THE SERVICE IN THE LAST SIX (6) MONTHS.

Some jurisdictions do not allow certain limitations; some exclusions may not apply to you.

19. Indemnification

You will indemnify and hold Link2Investors entities harmless from claims arising from (a) your misuse or inability to use the Service; (b) your breach of this Agreement; (c) any transaction; (d) your materials infringing others’ rights; or (e) your violation of others’ rights—including damages, losses, costs, and attorneys’ fees.

20. Termination & Enforcement

We may terminate or suspend access at any time for any reason, including violations. Upon termination, your right to use the Service ceases immediately. We may deactivate/delete credentials and related data and are not obligated to provide copies post-termination. We may take actions necessary to enforce these Terms.

21. Governing Law

These Terms are governed by the U.S. Federal Arbitration Act, federal arbitration law, and the laws of the State of Oklahoma, without regard to conflict-of-law rules. Except as provided in the arbitration section, exclusive venue lies in state or federal courts in Oklahoma.

22. Dispute Resolution; Arbitration

Disputes with other users

Attempt to resolve disputes directly. You release Link2Investors and its affiliates from claims arising out of such disputes.

Disputes with Link2Investors

Informal negotiations: Before arbitration, the parties will attempt informal resolution for at least thirty (30) days after written notice.

Agreement to arbitrate: Except for small-claims matters and actions seeking injunctive relief for IP rights, disputes will be resolved by binding arbitration. You may opt out of arbitration within thirty (30) days of first agreeing to these Terms by emailing support@link2investors.com (include “Arbitration Opt-out Notice”).

Rules & forum: Arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and Supplementary Procedures for Consumer-Related Disputes. See www.adr.org/arb_med.

Process: The arbitrator will be a retired judge or licensed attorney chosen from the AAA roster. If parties cannot agree within seven (7) days of the demand, AAA will appoint the arbitrator.

Decision: The award will include essential findings. Judgment may be entered in any court of competent jurisdiction. Damages must be consistent with the limitations stated herein. Declaratory/injunctive relief is limited to the claimant’s individual claim. Fee-shifting follows applicable law.

Fees: AAA rules govern filing/administration/arbitrator fees. Each party bears its own other costs (e.g., attorneys’ fees), unless law provides otherwise.

No class actions: Claims may proceed only on an individual basis; no class or representative actions. If this prohibition is deemed unenforceable, this arbitration section is void.

Changes: If we later change this arbitration section, you may reject the change by emailing support@link2investors.com within 30 days of the change’s effective date; prior terms will govern your disputes.

23. General Terms

Entire Agreement: These Terms constitute the entire agreement between you and Link2Investors regarding the Service and supersede prior agreements.

Severability: If any provision is invalid or unenforceable, the remainder remains in effect.

Assignment: You may not assign these Terms without our written consent. We may assign freely. These Terms bind and benefit successors and permitted assigns.

Notices: We may deliver notices via email or posting on the Service. The send date is deemed the receipt date.

No Waiver: Failure to enforce a provision is not a waiver. Remedies are cumulative unless stated otherwise.
